Naming your limited company – the legalities
It’s all very well and good coming up with a catchy and clever name for your company, but if it breaks government rules then you won’t be able to keep it.
Here’s what you need to know:
You can’t have the same name, ‘same as’ name or ‘too like’ name as another business. If a company already owns a name, you can’t start trading under that name too as it is protected, so you will need to check through Companies House to search for what names already exist.
Referred to as ‘same as’ names, you won’t be able to get away with a name that’s the same as another company’s but with a slight change; for example, if you’ve added or taken away punctuation, special characters or used a word/character that is similar in appearance or meaning to another from the existing name.
If a company that registered before yours complains that your name is ‘too like’ theirs and Companies House agrees then you may need to change your name.
Your company name cannot include a word or phrase that is deemed offensive or sensitive.
It also can’t include trademarked names or expressions, or falsely claim it has a connection with government/local authorities
The majority of private limited companies must end in either ‘Limited’ or ‘LTD’. However, a registered charity or limited by guarantee company, for example, won’t have to stick to this rule.
Other factors to consider when naming your limited company
When coming up with your company name, remember to keep it professional; a badly thought-out name could potentially affect future opportunities.
At the same time, how serious you are with the name depends on the type of industry you’re in. For example, a business name for a solicitor’s will of course have a completely different tone to an events organiser.
It’s also worth thinking ahead when it comes to your goals – for example, if in the long term you want to start providing more than one type of service, then don’t choose a name that covers just one category.
Am I allowed to change my company name if I change my mind?
Yes, you can change a company name if you so wish.
You’ll just need to fill out and send off a special resolution form, which you’ll need to pay a fee for.
It’s worth noting that this won’t change officially until Companies House registers it.
Also, remember that changing your name means ensuring everything associated with the company, from assets to letterheads, is changed too.
